1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

2. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to use the security features we provide (such as multi-factor authentication) where appropriate, and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

External sign-in (Google). You may sign in using a third-party provider such as Google. If you do, your use of that provider is subject to the provider's own terms and privacy policy, and you are responsible for the security of your provider account. Where the verified email from your provider matches an existing ZiCorp account, we may link that provider to your existing account as an additional sign-in method; linking adds a sign-in option and does not replace your existing credentials. Because federated sign-in relies on the provider's authentication, anyone who controls your provider account may be able to access your ZiCorp account through it. To the maximum extent permitted by law, ZiCorp is not responsible for unauthorized access resulting from the compromise of your third-party provider account or email.

3. The Service and license to use it

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or internal business purposes. We may modify, suspend, or discontinue any part of the Service at any time without liability.

4. AI output — no reliance

The Service uses artificial intelligence to generate responses. AI output may be inaccurate, incomplete, outdated, or otherwise unreliable, and may not be appropriate for your situation. Output is provided for general informational purposes only and does not constitute legal, financial, medical, or other professional advice. You are solely responsible for evaluating and verifying any output before relying on it, and for any decisions or actions you take based on it.

5. Your content and responsibilities

"Your Content" means the inputs you submit and the conversations stored in your account. As between you and ZiCorp, you retain ownership of Your Content. You grant ZiCorp a limited license to host, store, process, and display Your Content solely as necessary to operate and provide the Service to you.

You are solely responsible for Your Content and for ensuring you have the rights to submit it. Do not submit personal, financial, health, or other sensitive information you would not want stored — conversations are saved to your history, and managing their contents is your responsibility. You may delete conversations at any time.

6. Acceptable use

You agree not to, and not to allow others to:

• use the Service to violate any law or the rights of others;
• attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the Service;
• probe, scan, or test the vulnerability of the Service except as expressly authorized in writing;
• use the Service to generate or distribute unlawful, harmful, harassing, hateful, infringing, or fraudulent content, or content that exploits or endangers minors;
• scrape, resell, or build a competing product from the Service, or use automated means to access it beyond what we permit;
• circumvent usage limits, rate limits, access tiers, or security measures.

We may investigate and take appropriate action, including suspension or termination, for any violation.

7. Subscriptions, billing, and cancellation

Certain features require a paid subscription. Pricing and plan features are described on our Products page and may change. Payments are processed by Stripe; by subscribing you also agree to Stripe's applicable terms.

• Auto-renewal — paid subscriptions renew automatically at the end of each billing period at the then-current price until cancelled.
• Plan changes — when you change plans, the change is applied to your existing subscription and any price difference is prorated by Stripe.
• Cancellation — you may cancel at any time from your Account page. Cancellation takes effect at the end of the current paid period; you retain access until then.
• Refunds — except where required by law, payments are non-refundable and partial periods are not refunded.
• Price changes — we may change prices; changes apply to future billing periods, and we will provide notice where required.
• Taxes — you are responsible for any applicable taxes.
• Failed payments — if a payment fails, we may suspend or downgrade your access until it is resolved.

8. Games, Zi Coins, and virtual items

The Service includes online games (such as Zidle) and a virtual currency called Zi Coins. Zi Coins can be purchased through the Service (processed by Stripe) or granted by us, and can be spent on digital items and conveniences within the Service.

• License, not property — Zi Coins and all in-game items, characters, progression, and perks are a limited, revocable license to features of the Service. They are not your property, have no real-world monetary value, are not redeemable for cash, and cannot be transferred, sold, or exchanged outside the Service.
• All purchases final — except where required by law, purchases of Zi Coins and spends of Zi Coins are final and non-refundable, including when your account is terminated for a violation of these Terms.
• Promotional bonuses — promotional offers (for example, first-purchase bonus coins) are limited to one per eligible pack per account, may change or end at any time, and may be revoked where we reasonably suspect abuse.
• Balance changes — game rules, content, pricing, drop rates, and progression are enforced server-side and may be adjusted, rebalanced, or reset at any time to maintain fairness or fix errors. We may also modify or discontinue games, items, or Zi Coins with reasonable notice.
• Fair play — you may not use automation, bots, exploits, or modified clients, or trade accounts or virtual items for real money. We may roll back progress, remove balances gained through abuse, or suspend accounts for violations.
• Erroneous credits — we may correct Zi Coin balances credited in error (including duplicated or reversed payments).

9. Intellectual property

The Service, including its software, design, text, graphics, and trademarks (excluding Your Content), is owned by ZiCorp or its licensors and is protected by intellectual-property laws. Except for the limited license granted above, no rights are granted to you. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

10. Third-party services

The Service relies on and may link to third-party services (such as Stripe and Cloudflare). We are not responsible for third-party services, and your use of them may be subject to their own terms and policies.

11. Disclaimer of warranties

The Service and all AI output are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage. ZiCorp does not warrant that the Service will be uninterrupted, secure, error-free, or that any output will be accurate or reliable. You use the Service at your own risk.

12. Limitation of liability

To the maximum extent permitted by law, ZiCorp and its owner, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, ZiCorp's total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the total amounts you paid to ZiCorp for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless ZiCorp LLC and its owner, affiliates, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or to protect the Service or other users. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of [GOVERNING-LAW STATE], United States, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, you and ZiCorp agree to the exclusive jurisdiction of the state and federal courts located in [COUNTY/STATE] for any disputes not subject to arbitration.

Binding arbitration; class-action waiver

To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration rather than in court, except that either party may bring claims in small-claims court or seek injunctive relief for intellectual-property or unauthorized-access matters. You and ZiCorp waive any right to a jury trial and to participate in a class, collective, or representative action. You may opt out of this arbitration provision by emailing [email protected] within 30 days of first accepting these Terms.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and ZiCorp regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
